The owner of retail liquor stores and two consumers challenged the constitutionality of an Indiana state law that prohibits shipment of wine to customers by motor carriers, such as UPS, Ind. Code. 7.1-3-15-3(d). The Seventh Circuit affirmed the district court's rejection of the challenges. The law may prevent the store from enlarging its sales area to encompass parts of Indiana remote from Fort Wayne; that is an effect on intrastate commerce, not interstate commerce. Plaintiffs did not establish even an incidental effect on interstate commerce The court also noted that the law is "within the Twenty-First Amendment's gravitational field," which includes matters relating to transportation of liquor.View "Lebamoff Enter., Inc. v. The title company provided real estate closing services. From 1984 through 1995, it served as exclusive agent for defendant and managed an escrow account that defendant contractually agreed to insure. The title company was not profitable and its managers used escrow funds in a "Ponzi" scheme. In 1989, there was a $26 million shortfall. To fill the hole, the managers began looting another business, Intrust, to pay defendant's policyholders ($40.9 million) and to pay defendant directly ($27 million), so that defendant was a direct and indirect beneficiary of the title company's arrangement with Intrust. In 2000 the state agency learned that the funds were missing, took control of Intrust and placed it in receivership. In July 2010, the Receiver filed suit for money had and received, unjust enrichment, vicarious liability), aiding and abetting breach of fiduciary duty, and conspiracy. The district court dismissed based on the statute of limitations. The Seventh Circuit affirmed. The Illinois doctrine of adverse domination does not apply. In 2003, the Trust sought group accident and life insurance policies as a benefit for its union members. Consistent with the Trust's request, the broker's RFP specifically sought a policy where the "Trust is the owner of the policy and also [a] beneficiary." Defendant's proposal contained only a summary of proposed terms, expressly cautioned that it was not a contract, and omitted reference to the Trust’s desired beneficiary provision. The policy drafts sent to the Trust did not contain the beneficiary provision the Trust wanted and stated that payment of the required premium after delivery of the policies would constitute acceptance. The Trust's chairman signed and paid the first premium in 2003 In May, 2004, the Trust made a claim on the group life policy. Defendant responded that the terms of the policy required it to pay the full benefit to the decedent's beneficiaries. The Trust terminated the policy, stopped paying premiums, and filed suit seeking a declaratory judgment and rescission of the contract. The district court dismissed the Trust's claims and entered judgment for defendant for $95,059.99 in unpaid premiums. Plaintiff sued individual defendants and a bank alleging violations of Wisconsin Statute section 134.01, which prohibits conspiracies to willfully or maliciously injure the reputation, trade, business or profession of another. Defendants had caused appointment of a receiver for plaintiff's business and had sued, claiming that plaintiff "looted" the business. A jury verdict against plaintiff was reversed. The receivership is still on appeal. The district court dismissed plaintiff's subsequent suit for failure to state a claim. The Seventh Circuit affirmed. While plaintiff did plead malice adequately to support a claim, the claim was barred by issue preclusion. Plaintiffs are producers of coal bed methane gas; defendant is large coal-mining company. Gas extraction firms need access to coal from which to extract gas and coal companies need to have gas removed from their mines before mining. To form an alliance for that purpose, plaintiff began by acquiring options to buy coal-mining rights; it planned to sell the options in exchange for the right to extract gas from its partner's coal. The parties signed memorandum of understanding, which stated that it did not constitute a binding agreement, and, later, a non-binding letter of intent. Plaintiff began transferring coal rights to defendant as contemplated by the letter of intent, but defendant delayed reciprocating. Ultimately defendant announced that it was terminating the letter of intent. The trial court entered summary judgment for defendant on a fraud claim. The Seventh Circuit affirmed, stating that "when a document says it isn't a contract, it isn't a contract" and that plaintiff did not establish promissory fraud or justifiable reliance.View "BPI Energy Holdings, Inc. v. Defendant, an "infomercialist," violated a court-approved settlement with the FTC by misrepresenting the content of his book, The Weight Loss Cure They Don't Want You to Know About. The district court held him in contempt, ordered him to pay $37.6 million to the FTC, and banned him from making infomercials for three years. The Seventh Circuit vacated the sanctions. On remand, the district court reinstated the $37.6 million remedial fine, explaining that it reached that figure by multiplying the price of the book by the 800-number orders, plus the cost of shipping, less returns, and instructing the FTC to distribute the funds to those who bought the book using the 800-number. Any remainder was to be returned to defendant. The district court also imposed a coercive sanction, a $2 million performance bond, effective for at least five years. The Seventh Circuit affirmed. Plaintiff, a supplier of outdoor power equipment, gave defendant, a disttributer of such equipment, as well as of irrigation equipment, a distributor agreement with a multi-state territory. After about four years, plaintiff provided notice of termination and shifted sales to another distributor. Defendant was in significant debt, its lenders had refused to loan it any more money. Defendant is now out of business. During the contract period, defendant also distributed products for other companies. Plaintiff claimed that defendant owed for products purchased. The district court ruled in favor of plaintiff on the breach of contract claim and rejected defendant's claims of wrongful termination and that the new distributor improperly induced plaintiff to terminate. The Seventh Circuit affirmed. Rejecting a Connecticut Franchise Act claim, the court noted that defendant failed to show that more than 50 percent of its business resulted from its relationship with plaintiff. Plaintiff complained that defendant told credit agencies that she was behind in payments on a loan in violation of the Fair Credit Reporting Act, 15 U.S.C. 1681s–2(a). The district court dismissed the federal claim on the ground that the statute does not create a private cause of action and held that state common law claims are not preempted. The Seventh Circuit reversed, holding that the state claims should have been dismissed with prejudice. Allowing state common law claims would defeat the purpose of the statute. View "Purcell v. In a loan-and-supply contract, plaintiff agreed to provide defendant with a $150,000 loan that would be gradually forgiven over five years as defendant purchased specified quantities of motor-oil products from plaintiff. The typewritten contract included a handwritten note stating that the "Agreement will terminate after 225,000 gallons and 225,000 filters of Exxon/Mobil is purchased or 60 months, whichever comes first." Defendant stopped buying products from plaintiff after only two years, having purchased only 55,296 gallons and 61,551 filters. The district court entered summary judgment for plaintiff. The Seventh Circuit affirmed, rejecting an argument that the handwritten provision relieved plaintiff of any liability after 60 months (after July 1, 2008) regardless of the amount of product it purchased.

A successful Ford dealership in Iowa offered to assist struggling Middleton, Wisconsin dealership. The parties agreed that Iowa's general manager would provide management services to Middleton with compensation to begin after he turned Middleton profitable and also that Iowa would provide capital in exchange for an ownership interest. Negotiations continued after the manager started working at Middleton, but the parties never reached a more specific agreement. The relationship broke down after 11 months because Iowa failed to come forward with the expected cash. Still not earning a profit, Middleton did not pay for the manager's services. After a remand, the district court again entered judgment for Iowa, finding that Middleton became profitable during the manager's tenure and fired him before he had a fair opportunity to restore profitability. The Seventh Circuit reversed, stating that the factual findings were inconsistent and clearly erroneous. Iowa is not entitled to quasi-contractual compensation for services under either quantum meruit or unjust enrichment.
